TYFONE ACQUIRES ATTUNE

Target: Attune (2019) provides an all-in-one digital origination platform for banks and credit unions. The platform, which is omnichannel (mobile, online, and in-branch), enables account opening, lending, and real-time cross selling. Attune’s account opening solutions are used by banking customers to start applications for loans or to open deposit accounts via mobile devices or the Internet or in a branch with the assistance of staff. The platform persists the application state across channels, so that a customer can start an application on a mobile phone and complete it in the branch. Digital lending solutions support consumer, mortgage, home equity, auto loans, commercial, and small business loans. In January 2024, Attune raised $2.25 million in a seed round from Tribeca Early Stage Partners (lead), Castle Creek Launchpad (a fund managed jointly by Castle Creek Capital and Launchpad Capital), ICBA, and Mike Roffler, a former CEO of First Republic Bank.
Buyer: Tyfone Inc. (2004) provides nFinia, an omnichannel, mobile-first digital banking platform and related solutions for community financial institutions. The nFinia platform consists of nFinia retail digital banking; nFinia business digital banking; the Harmony Management Console, an administrative platform; new account opening software for retail deposit accounts and credit union memberships; Fathom AI, a pre-integrated financial concierge for account holders; and Cryptographic Device Authentication, a secure method of verifying the identity of a device using mathematics rather than passwords or text-based codes; and more than 200 partner integrations. Tyfone also offers Skip-A-Pay, a digital banking agnostic solution that enables account holders to skip loan payments and generates skip fees for financial institutions; and Quick-Pay, a digital banking agnostic solution that enables account holders to set up loan payments even for loans not in an institution’s core platform. In April 2023, Demopolis Equity Partners, a New York-based private equity firm, acquired Tyfone. In a simultaneous transaction, Demopolis acquired Cubus Solutions, a provider of digital banking software (Cubus One) and related solutions (Skip-A-Pay and Quick-Pay) for credit unions, and merged Cubus with Tyfone. In October 2024, Tyfone spun off its instant payment technologies into a newly formed subsidiary (Payfinia), which focuses on real-time payments solutions. PayFinia, a CUSO, offers the Instant Payment Xchange, or IPX, a multi-rail instant-payment platform certified to support both the Federal Reserve’s FedNow Service and The Clearing House RTP network. In 2026, Tyfone formed Loanovia, Inc., a loan servicing and payments business unit to manage the Skip-A-Pay and Quick-Pay products and related business.
Deal Rationale: Through the transaction, Tyfone strengthens its account opening software and expands its lending solutions beyond loan payments to originations. Attune’s assets and business will become a part of Tyfone’s newly formed loan servicing and payments subsidiary, Loanovia.
